Terms of Use

1. Your Account

To use certain Services, you may need to create an account. If you choose to create (or you are provided with an account), including a user identification code, password or any other piece of information, as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. You are also responsible for keeping your account information up to date.

We have the right to disable any account whether chosen by you or allocated by us, at any time, in our sole discretion, if we believe you have failed to comply with any of the provisions of these Terms.

You agree to promptly notify us at support@secureschools.com if you become aware of any unauthorized use of your user identification code, password, or account. You may be held liable for all losses incurred by us or any other user of our Services due to activities that occur under your account, including any misuse by you or others. You may not use another person’s account without permission, act in a way that interferes with another user’s account, or solicit another user’s password. We are not liable for any loss or damage arising from your failure to comply with these obligations. We reserve the right at any time to terminate or suspend your account(s) for any or no reason, including any violation of these Terms.

2. Intellectual Property Rights and Ownership

All content on the Services (including, but not limited to, graphics, drawings, design, text, software, selection, and arrangement) is protected by copyright laws around the world, including the United States. We grant you permission to use the Services for your own personal use. You may not access, download, copy, modify, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any part of the content or Services or use the Services for your own commercial purposes, whether on behalf of yourself or a third party. The entire contents, features, and functions of the Services are owned by Secure Schools, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and other proprietary rights.

All trademarks, service marks, and trade names are trademarks or registered trademarks of Secure Schools Ltd., Secure Schools Inc., or other owners that have granted Secure Schools license to use such marks. You must not use such marks without express prior written consent of the applicable owner.

Secure Schools retains all right, title, and interest in and to the Services, including all content and other material contained in or made available through the Services. You may not use any portion of the Services, except as expressly authorized in these Terms.

3. User Content

These Services may allow you and other users to provide content, including ratings, reviews, comments, images or other types of media (“User Content”) on the Services through posts, bulletin boards or chat rooms. You acknowledge that you are solely responsible for your User Content, your User Content is not confidential or proprietary to you, and others may access or use your User Content. You will only submit User Content if: you are the sole author and owner of all rights to the User Content or have all necessary permissions; your submission is in accordance with these Terms and any other guidance we provide; and your submission complies with all applicable laws and regulations. 

User Content has not been verified or approved by Secure Schools and the views expressed by other users on the Services do not represent our views or values. We retain sole discretion to remove any User Content for any reason.

You will not submit User Content that may cause injury to any person or entity; is false or misleading; infringes any third party’s copyright, patent, trademark, trade secret or other proprietary rights; violates anyone’s rights to privacy or publicity; violates any law or regulation; includes content or links to content that could be considered defamatory, libelous, knowingly false, fraudulent, indecent, violent, obscene, profane, hateful, racially or religiously biased, threatening, or harassing; is inconsistent with the safe and proper use of the Services; or promotes commercial activities and/or sales without our prior written consent. You will also not submit User Content that includes personally identifiable information about yourself or any other person, unless the Services specifically request that you provide such information.

YOU ARE SOLELY RESPONSIBLE FOR YOUR USER CONTENT, OTHERS’ USER CONTENT THAT YOU CHOOSE TO USE, AND ANY CONSEQUENCES THEREOF.

4. Feedback

If you provide us with any ideas, proposals, suggestions or other materials relating to the Services or any other Secure Schools products or services, we may use the feedback in any manner for any purpose, without restriction or compensation to you.

5. Acceptable Use Policy

When using the Services, you agree to abide by these Terms.

In addition, you agree not to:

• Misuse our Services by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. 
• Use any robot, spider, search/retrieval application or other manual or automatic device to systematically retrieve, index, “scrape,” “data mine” or otherwise gather data or content from the Services.
• Attempt to gain unauthorized access to our Services, the server on which our Services are stored or any server, computer or database connected to our Services. 
• Attack our Services via a denial-of-service attack or a distributed denial-of service attack. 
• Use any materials that may be protected by copyright, trademark, trade secret, right of publicity or privacy, or any other proprietary right, without the express prior written consent of the applicable owner or in any way that is otherwise unlawful.
• Impersonate any person, business, entity, or IP address (including, without limitation, by engaging in IP spoofing or by using email addresses or screen names associated with Secure Schools or any of its subsidiaries).
• Transmit, or procure the sending of, any advertisements or promotions, sales, or encourage other commercial activities, without our prior written consent.
• Gain or attempt to gain unauthorized access to the Services, including by reverse engineering or installing firmware not approved by Secure Schools.
• Frame or mirror any portion of the Services, or incorporate any portion of the Services into any other product or service without Secure School’s express prior written consent.
• Alter, damage, or delete any content provided by Secure Schools.

6. Do Not Rely On Information On The Services

The content on our Services is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Services.

Although we make reasonable efforts to update the information on our Services, we make no representations, warranties or guarantees, whether express or implied, that the content on our Services is accurate, complete or up to date.

7. We Are Not Responsible For Websites We Link To

Where our Services contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources. We do not warrant that such content is accurate, complete, reliable, current, error-free, or complies with applicable laws.

8. Disclaimers

SECURE SCHOOLS DOES NOT PROMISE THAT THE SERVICES OR ANY CONTENT, SERVICE OR FEATURE OF THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SERVICES WILL PROVIDE SPECIFIC RESULTS. THE SERVICES AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE SERVICES ARE SUBJECT TO CHANGE WITHOUT NOTICE. SECURE SCHOOLS CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SERVICES WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. SECURE SCHOOLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SECURE SCHOOLS DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SERVICES AND/OR ANY SECURE SCHOOLS SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SERVICES AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST SECURE SCHOOLS FOR DISSATISFACTION WITH THE SERVICES OR ANY CONTENT IS TO STOP USING THE SERVICES OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

Secure Schools reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Services, or any portion of the Services, for any reason; (2) to modify or change the Services, or any portion of the Services, and any applicable policies or terms; and (3) to interrupt the operation of the Services, or any portion of the Services, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

9. Limitation of Liability

SECURE SCHOOLS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, RELIANCE, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES OR FOR ANY DAMAGES RELATED TO LOSS OF USE OF THE SERVICES, ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICES, OR YOUR DATA OR USER CONTENT, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND EVEN IF SECURE SCHOOLS IS ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIMS REGARDING OR ISSUES WITH THE SERVICES IS TO STOP USING THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THESE TERMS GIVE YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

10. Indemnity

You agree to indemnify and hold Secure Schools, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Secure Schools by any third party due to or arising out of or in connection with your use of the Services.

11. Rules About Linking To Our Services

You may link to the home page of the Services, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our Services in any website that is not owned by you. Our Services must not be framed on any other site, nor may you create a link to any part of our Services other than the home page.

We reserve the right to withdraw linking permission without notice.

12. Governing Law

You agree that all matters relating to your access to or use of the Services, including all disputes, will be governed by the laws of the United States and by the laws of the State of Delaware without regard to its conflicts of laws provisions. All lawsuits arising from or relating to these Terms of Use shall be brought in the Federal or State courts located in New Castle County, Delaware, and you hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose.

13. Service Availability

We do not guarantee that the Services, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Services for business and operational reasons.  You agree that Secure Schools is not responsible for any damage or loss caused by failures or delays of the Services. 

14. We May Make Changes To These Terms

We reserve the right, at our sole discretion, to amend, change, modify, add or remove these Terms, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes. 

15. We May Make Changes To Our Services

While we try to provide the Services error-free, we do not guarantee that the Services or their content are complete, current, or error-free (including, without limitation, content related to specifications, features, or prices). If we discover errors, we will make reasonable efforts to correct them. We may update and change our Services from time to time to reflect changes to our products, our users' needs and our business priorities. We will try to give you reasonable notice of any major changes.

16. Miscellaneous

You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Services, or the Services themselves, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. Secure School’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by Secure Schools of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between Secure Schools and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.
